Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the NexScrm cross-language social CRM platform and related services (collectively, the “Services”) provided by NexScrm Technologies Pte. Ltd. (“NexScrm”, “we”, “us”, or “our”), a company registered in Singapore. By accessing or using our Services, you agree to be bound by these Terms.

1. Service Description

NexScrm provides a cross-language social media customer relationship management platform that enables businesses to manage multilingual communications across multiple social media platforms. Our Services include, but are not limited to, real-time message translation, multi-account management, AI-powered lead generation, data analytics, team collaboration tools, and customer profile management.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

2. Account Registration and Security

To access certain features of the Services, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities under your account

You must be at least 16 years of age to create an account. By creating an account, you represent that you meet this requirement. We reserve the right to suspend or terminate accounts that violate these Terms.

3. User Conduct

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Send spam, unsolicited messages, or engage in abusive messaging practices
• Distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated tools to scrape, harvest, or collect data from the Services without authorization
• Interfere with or disrupt the integrity or performance of the Services
• Engage in any activity that could damage, disable, or impair the Services
• Use the Services for any fraudulent, deceptive, or illegal purpose

4. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, algorithms, designs, trademarks, logos, and content created by NexScrm, are owned by or licensed to NexScrm. These Terms do not grant you any right, title, or interest in our intellectual property except for the limited right to use the Services as permitted by these Terms.

You retain ownership of any content you upload or create through the Services. By using the Services, you grant us a limited, non-exclusive, worldwide license to process, store, and display your content solely for the purpose of providing the Services to you.

5. Third-Party Services and Platforms

Our Services integrate with third-party social media platforms and messaging services. Your use of these third-party platforms is subject to their respective terms of service and privacy policies. NexScrm is not responsible for the content, policies, or practices of any third-party platforms. We do not endorse or assume any liability for third-party services.

6. Subscription and Payment

• Subscription fees are billed in advance on a monthly or annual basis as selected during purchase
• All fees are quoted in the currency specified at the time of purchase and are exclusive of applicable taxes
• Subscriptions automatically renew unless cancelled before the renewal date
• All payments are non-refundable. No refunds or credits will be issued for partial subscription periods, unused features, or downgraded plans
• We reserve the right to modify pricing with 30 days' advance notice to existing subscribers
• Failure to pay may result in suspension or termination of your account

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that: (a) the Services will be uninterrupted, timely, secure, or error-free; (b) the results obtained from use of the Services will be accurate or reliable; (c) the quality of the Services will meet your expectations; or (d) any errors will be corrected.

Translation accuracy is provided on a best-effort basis. We do not guarantee 100% accuracy of machine translations and recommend professional translation for critical communications.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEXSCRM, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED ONE HUNDRED SINGAPORE DOLLARS (SGD 100) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless NexScrm and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you upload or transmit through the Services.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination: (a) your right to use the Services will immediately cease; (b) we may delete your account and data after a reasonable retention period; (c) any provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

You may terminate your account at any time by contacting us. Termination does not entitle you to any refund of prepaid fees.

11. Changes to These Terms

We reserve the right to update or modify these Terms at any time. We will provide notice of material changes by posting the revised Terms on our website and updating the “Last Updated” date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms. If you do not agree with the changes, you must discontinue use of the Services.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least thirty (30) days.

13. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and NexScrm regarding the Services.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
• Force Majeure: We shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, wars, strikes, or government actions.
